Stuart J. Komenski, President


Mr. Komenski founded TAG and currently serves as its President.  He has extensive experience providing buy-side and sell-side transaction services, audit assistance, business advisory services and complex accounting advice on the application of US GAAP and SEC rules and reporting standards to multinational public and private clients.  

Prior to establishing TAG in early 2007, he held various positions at two Big 4 accounting firms over the course of almost ten years. As part of a national office technical accounting group, he assisted audit teams and non-audit clients in the application of US GAAP and SEC rules and regulations. Mr. Komenski has extensive experience guiding clients through initial and secondary public offerings, as well as privately placed debt and equity offerings. He also worked on one of the largest restatements in US history and assisted non-audit clients with carve-outs, reconciliations, and conversions between local GAAP (including IFRS) and US GAAP. Later, he joined the transaction services group where he provided full service buy-side and sell-side financial due diligence, including identifying EBITDA adjustments and deal-related synergies, deal risks, assessing and defining working capital pegs, and reviewing stock and asset purchase agreements.
      
As President of TAG, Mr. Komenski continues to provide clients with a full spectrum of financial and accounting services. He guided a client through a $350+ million public spin-off transaction, led several clients through financial restatements including acting as a liaison with the external auditors, and assisted companies with refinancing and debt restructuring. He also provided clients with assistance navigating through US GAAP and SEC rules, drafting financial statements, preparing and reviewing Forms 10-Q and 10-K, and completing the financial close and audit preparation processes.  

Mr. Komenski is a New York State licensed Certified Public Accountant and serves as a board member of three for-profit companies.
